Terms of Service

1. Introduction

These Terms of Service (“Terms”) are a binding agreement between you and SocialCue, LLC, a Texas limited liability company (“SocialCue,” “we,” “us”), governing your use of the SocialCue app and websites (the “Service”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

SocialCue is a location-based social discovery platform for adults. Members see which nearby venues have people present, may attend meetups and events, and may optionally connect with other members. Our Privacy Policy explains how we handle your information and is incorporated into these Terms.

2. Eligibility

You must be at least 18 years old to use SocialCue. By using the Service you represent that you are 18 or older, that you have the legal capacity to enter these Terms, and that you are not barred from using the Service under applicable law.

We do not verify age with identity documents. Age is self-declared as a bracket at registration. Misrepresenting your age is a violation of these Terms and grounds for immediate termination.

You may not use the Service if you have previously been removed by us, or if you are required to register as a sex offender in any jurisdiction.

3. Accounts and registration

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping your credentials secure. Notify us promptly at paulroberson@socialcue.co if you suspect unauthorized use.

One person, one account. You may not create an account on behalf of anyone else, sell or transfer your account, or maintain multiple accounts.

At registration you select a gender (woman or man) and an age bracket. Gender determines how core features operate and cannot be changed after registration. Your display name may be changed once.

4. Authentication

You may sign in with an email address and password, with a one-time code sent to your email, or with Google. Authentication is provided by Supabase. Phone verification, where offered, is optional and uses SMS.

5. How the Service works

Presence. When you grant location permission and are physically inside a venue we have mapped, you may become visible to other members present at that venue. Presence requires an approved primary profile photo.

Reveals. A woman may reveal herself to a man who is present at the same venue. Reveals are limited to 25 per 24-hour period and expire after 7 days if not answered.

Connections. If the recipient accepts, a Connection is created. Contact handles become visible only if both members separately opt in to share them. Either member may remove a Connection at any time; removal is permanent for that reveal and is not announced to the other person.

No messaging. SocialCue does not provide in-app chat or messaging. Any communication after connecting happens on third-party platforms, subject to their terms.

Availability. Features may change, and some are enabled or disabled at our discretion. We do not guarantee that any feature will remain available.

6. Acceptable use and conduct

You agree not to:

  • Harass, threaten, stalk, intimidate, defame, or abuse any person
  • Impersonate anyone, or misrepresent your age, gender, identity, or affiliation
  • Post photos that are not of you, or that depict another person without consent
  • Post sexually explicit, violent, hateful, or illegal content
  • Solicit money, promote commercial services, advertise, or recruit
  • Engage in prostitution, trafficking, or any illegal activity
  • Use the Service to contact anyone who has blocked you or declined to connect
  • Share another member’s information, photos, or contact details without consent
  • Falsify your location or interfere with location detection
  • Scrape, crawl, reverse engineer, or use bots or automated means
  • Circumvent limits, gates, or security measures
  • Interfere with the operation or security of the Service

7. Community standards

SocialCue exists so adults can meet safely and respectfully. Consent matters at every step. A member who does not reveal, does not accept, does not share contact details, or does not respond has made a choice you must respect. Persistence after a declined or ignored approach is harassment.

Members who make others feel unsafe will be removed.

8. Meetups and personal safety

Read this section carefully.

Whether you meet another member in person is entirely your decision and your responsibility.

  • We do not verify members. We do not conduct background checks, criminal-records checks, identity verification, or photo verification. We do not confirm that any member is who they claim to be.
  • We do not supervise meetings. SocialCue does not attend, monitor, chaperone, or supervise any meeting. We have no staff at venues.
  • Meet in public. We strongly recommend first meetings occur in public places, during business hours, with other people present.
  • Tell someone. Consider telling a friend where you are going and who you are meeting.
  • Arrange your own transport and keep control of it.
  • Trust your instincts and leave any situation that feels unsafe.
  • Never send money to another member.

You assume all risk arising from any interaction or meeting with another member, whether arranged through the Service or otherwise. If you are in danger, contact local emergency services first, then report the member in the app.

9. Venues and events

Venues listed in SocialCue are independent third-party businesses. Unless we explicitly identify a venue as operated by SocialCue, we do not own, operate, control, staff, endorse, sponsor, or supervise it, and we have no agreement or partnership with it. Venue listings are compiled by our staff and imply no affiliation.

Venue information — including boundaries, hours, and details — may be inaccurate or out of date. Your presence at any venue is subject to that venue’s own rules, admission policies, dress codes, and legal requirements, and to the laws that apply there.

Events listed in SocialCue are created by our staff. Attendance is voluntary and at your own risk. RSVP counts are estimates, shown only as aggregate numbers of women and men, and do not guarantee attendance, admission, or capacity.

SocialCue is not responsible for anything that occurs at a venue or event, including conduct of venue staff, other patrons, other members, or third parties.

10. Location services

Presence features require location permission. You may revoke it at any time in device settings, and presence features will stop working.

Location accuracy depends on your device, network, and environment and is not guaranteed. Presence may be delayed, missing, or incorrect. Do not rely on the Service to determine anyone’s actual location or whereabouts.

We store location readings as described in the Privacy Policy. Your exact coordinates are never shown to other members.

11. Ghost Mode

Ghost Mode makes you undiscoverable. Turning it on immediately removes your current presence records so you stop appearing at any venue at once. You may turn it on or off at any time.

12. User content

Your content. You are solely responsible for everything you upload or post — photos, profile text, interests, comments, replies, and poll votes (“User Content”). You represent that you own or have the rights to it and that it does not violate these Terms or anyone’s rights.

License to us. You grant SocialCue a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, and display your User Content solely to operate and provide the Service. This license ends when you delete the content or your account, except for copies retained in backups or as required for safety, legal, or dispute-resolution purposes.

Photo review. Photos are checked automatically for file type, dimensions, and size only. We do not automatically review photo content. Photos are made visible on upload and may be removed later following a report or staff review.

What you can post. Members may upload profile photos, edit profile fields, and post comments, replies, and poll votes on staff-authored channel posts. Members cannot create channel posts, events, venues, or news — these are authored by SocialCue staff.

Removal. We may remove any User Content, at any time, with or without notice, at our sole discretion.

13. Intellectual property

The Service — including software, design, branding, the SocialCue name and logo, and all associated content — is owned by SocialCue, LLC and protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Service, or use our trademarks without written permission.

14. Referrals

Each account receives a referral code. If someone joins using your code and completes their profile, you receive Promo Credits.

Referral rewards are granted once per invited member, are subject to change or discontinuation at any time, and may be withheld or reversed where we determine abuse has occurred — including self-referral, duplicate or fraudulent accounts, or automated signups. Promo Credits have no cash value and are not redeemable for money.

15. Memberships and subscriptions

Where offered, memberships are sold as auto-renewing subscriptions through the Apple App Store or Google Play.

  • Billing is handled entirely by Apple or Google. We never receive your payment card details.
  • Subscriptions renew automatically until cancelled. You are charged at the start of each period at the price disclosed at purchase.
  • Cancel through your Apple or Google account settings. Cancelling stops future renewals; it does not retroactively cancel the current period.
  • Prices and features may change on notice.
  • Some membership features may be limited, disabled, or unavailable while we operate in beta.

16. Wallet and credits

The Service includes an in-app credit balance with two credit types:

  • Regular Credits — credits that may be purchased when purchasing is enabled
  • Promo Credits — credits granted by us, such as referral rewards

Credits are not money. They are a limited, revocable, personal license to access features within the Service. Credits:

  • have no cash value
  • are not refundable, redeemable, exchangeable, or convertible to money
  • are not transferable between accounts or to any other person
  • may expire, be adjusted, or be revoked where we determine fraud, abuse, or error has occurred
  • are forfeited on account termination or deletion, whether by you or by us

We may change credit pricing, availability, and what credits can be used for at any time.

17. Purchases

Credit purchases are not currently available. The purchase interface may be visible, but attempting to buy credits will not complete and no charge is made. We will announce availability when it changes.

When purchasing becomes available, all purchases will be processed by Apple or Google under their terms, and prices will be disclosed before you confirm.

18. Refunds

Subscriptions. Purchases made through the Apple App Store or Google Play are subject to their refund policies. SocialCue cannot issue, process, or guarantee refunds for store purchases — you must request them directly from Apple or Google.

Credits. Credits are non-refundable. Once granted or spent, credits cannot be reversed, refunded, or converted to money. Spending credits on a membership is final; changing tiers may forfeit remaining time on the previous tier.

No other refunds. Except where required by law, all payments are final.

Nothing here limits rights you may have under applicable consumer-protection law that cannot be waived by agreement.

19. Reporting and moderation

You can report members, photos, and comments in the app.

Reports are confidential. The person you report is not notified and cannot see reports about them. Your identity as a reporter is not disclosed to them.

We review reports at our discretion. Submitting a report does not by itself remove, block, disconnect, or disable anyone — it opens a review. We may act, or decline to act, in our sole discretion, and we are not obligated to tell you the outcome.

Do not submit false or bad-faith reports. Doing so violates these Terms.

Blocking is a separate action available to you at any time and takes effect immediately.

20. Suspension and termination

By you. You may delete your account at any time in the app. Deletion is handled as described in the Privacy Policy. Deleting your account forfeits all credits and any unused membership time, without refund.

By us. We may suspend or terminate your account, or restrict access to any feature, at any time, with or without notice, and at our sole discretion, including where we believe you have violated these Terms, created risk or legal exposure, or engaged in conduct harmful to other members.

Effect. On termination your right to use the Service ends immediately, your profile stops being discoverable, and any credits and unused membership time are forfeited without refund.

We do not currently operate a formal appeals process. You may contact paulroberson@socialcue.co, and we will consider your message, but we are not obligated to reinstate any account.

Sections that by their nature should survive termination — including User Content license terms, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — survive.

21. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, SocialCue disclaims all warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that location or presence information will be accurate or timely.

We make no representation or warranty about any member. We do not verify identity, age, photos, background, criminal history, or intentions. We are not responsible for the conduct of any member, online or in person.

We make no representation or warranty about any venue or event. Venues are independent businesses we do not control.

You are solely responsible for your interactions with other members and for your safety.

22. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOCIALCUE, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, or for lost profits, lost data, loss of goodwill, personal injury, emotional distress, or property damage, arising out of or relating to your use of the Service — whether based in contract, tort, negligence, strict liability, or otherwise, and whether or not we were advised of the possibility of such damages.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

We are not liable for the acts or omissions of other members, venues, event organizers, or any third party, including anything that occurs during or after an in-person meeting.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

23. Indemnification

You agree to indemnify, defend, and hold harmless SocialCue, LLC and its members, managers, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or relating to: your use of the Service; your User Content; your violation of these Terms or applicable law; your violation of any third party’s rights; or your interactions or meetings with any other member.

24. Governing law and dispute resolution

These Terms, and any dispute, claim, or controversy arising out of or relating to them or to the Service — whether in contract, tort, statute, or otherwise — are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules.

You and SocialCue agree that the exclusive venue for any dispute is the state or federal courts located in Texas, and you consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum.

Where the law of your own jurisdiction grants you rights or remedies that cannot be waived by agreement, nothing in this section removes them.

25. Changes to these Terms

We may update these Terms. Changes are posted on this page with an updated “Last updated” date. Material changes will be communicated in the app. Continued use after changes take effect constitutes acceptance.

26. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and SocialCue regarding the Service.

Severability. If any provision is held unenforceable, the rest remains in effect.

No waiver. Our failure to enforce any provision is not a waiver.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
